Thank you for selecting the www.taxshax.com to prepare your taxes through usage of the software Taxshax. This License Agreement (the "Agreement") is a contract between you and FIRST ALTUS RESOURCES AND NETWORKS Pvt. Ltd. ("FARN") and that describes the terms and conditions applicable to your use of Taxshax.

"End-User" is any individual who has completed the registration process through this website, for the usage of the product Taxshax exclusively for personal use and who has agreed to comply with the terms and conditions of this Agreement. The terms "you", "your" or "End-User" are synonymous, and refer to the person using the website www.taxshax.com and the Taxshax in any way.

LICENSE FOR TAXSHAX
End-User is granted a limited, non-exclusive, non-transferable license to access and use Taxshax software available through the website called www.taxshax.com, at any time using a access control authentication process for the exclusive personal use of the End-User for preparation of one single individual income tax return for a financial year and, after proper registration and any applicable payment, to e-file electronically and/or print such income tax return. The license shall be valid for a period of one year.

ACCEPTANCE OF TERMS
The www.taxshax.com web site is comprised of various web pages operated by FARN or its affiliates. This website also provides you access to Taxshax software that can be used to prepare your personal income tax return. The www.taxshax.com web site and the Taxshax software is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Before using Taxshax, you must read and accept the terms and conditions contained in this Agreement. You agree to print a copy of this Agreement for your files, along with copies of any changes in such terms posted to the web site in the future. If you do not agree to such terms, do not install or use this web site. Your use of the www.taxshax.com web site and the Taxshax software constitutes your agreement to all such terms, conditions, and notices. MEMBER ACCOUNT, PASSWORD AND SECURITY
If a particular www.taxshax.com service requires you to open an account, you must complete the registration process by providing us with true, current, complete and accurate information as prompted by the applicable registration form. You then will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify FARN immediately of any unauthorized use of your account or any other breach of security. FARN will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by FARN or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.

If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we have the right to refuse any and all current or future use of the website www.taxshax.com and the Taxshax.

You do hereby agree and voluntarily authorize FARN to open an account on your behalf into the database owned by the Government of India- Income Tax department (in case you have already not opened one), which would enable FARN to upload your annual return directly to the Income tax department database. FARN would not have to seek any separate or special permission from you or your representatives, separately or specially for this purpose to open the id or to transmit the data to the Government of India - Income tax database.

MODIFICATION OF THESE TERMS OF USE
FARN reserves the right to change the terms, conditions, and notices under which the www.taxshax.com Site/Services are offered, including but not limited to the charges associated with the use of the www.taxshax.com Site/Services without any notice to you. You are responsible for regularly reviewing these terms and conditions and additional terms posted on particular websites. Unless otherwise agreed to in writing between you and FARN, your continued use of the www.taxshax.com Site/Services constitutes your agreement to all such terms, conditions, and notices, as amended, from time to time. We will not be liable to you or to any third party for any amendment of the terms, conditions and notices.

FARN has no responsibility or liability for damages or claims relating to your use of the services or Software on a professional basis or any other use for the benefit of any third party. Your use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). LIMITED WARRANTY
Licensor warrants that, till the last day of March following the financial year for which the return is being prepared [Warranty Period] from the date of initial use by the original End User, the Software shall operate substantially in accordance with the published functional specifications current at the time of the applicable date mentioned on the web site. If, during the warranty period, a defect appears, End User shall stop using the Software and inform the problem to Licensor, and Licensor's only obligation shall be, at Licensor's election, to replace the defective Software or refund the purchase price. The End-User agrees that the foregoing constitutes the End-User's sole and exclusive remedy for breach by Licensor under any warranties made under this Agreement. This warranty does not cover any Software that has been altered or changed in any way by anyone other than Licensor. Licensor is not responsible for problems associated with or caused by incompatible operating systems or equipment, or for problems in the interaction of the Software with software not furnished by Licensor.
No oral or written information or advice given by Licensor or its dealers, distributors, employees or agents shall in any way extend, modify or add to the foregoing warranty.

LIABILITY OF FARN FOR PROBLEMS
FARN relies upon its service providers and service partners for confirmation of payments and cancellations. FARN and its affiliates do not assume any liability for any direct, indirect, punitive, incidental, special, or consequential damages for any injury, damage, loss or delay due to any act or omission of any provider or person participating in providing services on or through this website. Some messages may not be processed due to space constraints or outbound message limitations. You agree that FARN is not responsible or liable for the deletion or failure to store messages or other information.

TERMINATION/ACCESS RESTRICTION
You acknowledge and agree that FARN may, in its sole discretion, terminate your password or account or deny you access to all or any part of the www.taxshax.com site, the Taxshax software and related services or any portion thereof at any time, without prior notice if you engage in any conduct or activities that FARN in its sole discretion believes violate any of the terms and conditions, violate the rights of FARN, or is otherwise inappropriate for continued access. FARN may also terminate or suspend your access to www.taxshax.com site, the Taxshax software, and related service(s) for inactivity, which is defined as failing to log into a particular service for an extended period of time, as determined by FARN. The amount of time that FARN currently considers as an "extended" period of time may be viewed in the FAQ relating to the particular service. Upon termination of the www.taxshax.com Site/Service, your right to use the www.taxshax.com site, the Taxshax software, and related service immediately ceases. FARN shall have no obligation to maintain any content or to forward any unread or unsent messages to you or any third party.
You acknowledge and agree that FARN may in its sole discretion deny you access through FARN to any materials stored on the Internet, or to access third party services, merchandise or information on the internet through FARN, and FARN shall have no responsibility to notify any third-party providers of services, merchandise or information nor any responsibility for any consequences resulting from lack of notification.

INDEMNITY
You agree to defend, indemnify and hold FARN its parents, subsidiaries, affiliates, assigns, officers and employees, harmless from any and all claims, liabilities, demand, damage or costs and expenses, including reasonable attorneys' fees, arising in any way from your use of or the conduct on the www.taxshax.com Site/Services, the Taxshax software and related or the placement or transmission of any message, information, software or other materials through the www.taxshax.com site by you or users of your account or related to any violation of these terms by you or users of your account.

NO SPAM; DAMAGES
FARN will immediately terminate any account, which it believes, in its sole discretion, is transmitting or is otherwise connected with any spam or other unsolicited bulk email. In addition, because damages are often difficult to quantify, if actual damages cannot be reasonably calculated then you agree to pay FARN liquidated damages of Rs 50 for each piece of spam or unsolicited bulk email transmitted from or otherwise connected with your account, otherwise you agree to pay FARN's actual damages, to the extent such actual damages can be reasonably calculated.

ARBITRATION
This Agreement and the claims of either party against the other will be governed by and construed in accordance with the laws of India. Each party agrees to submit any and all disputes that in any way relate to or arise out of www.taxshax.com Site/Services, if not resolved between the parties, to binding arbitration before the sole arbitrator to be mutually appointed by them in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996. The place of arbitration shall be PUNE, Maharashtra, India and all the arbitration proceedings shall be conducted in the English language. Any final decision or award from arbitration under this section will be in writing and reasoned. The decision of the Arbitrator shall be binding on both the parties. The costs of the Arbitration shall be borne by the parties in such manner, as the arbitrator shall direct in his arbitral award.

LANGUAGE
It is the express will of the parties that this agreement and all related documents have been drawn up in English.

NOTICES
Notices to you may be made via either email or regular mail. The www.taxshax.com Site/Services may also provide notices of changes to the terms of this Agreement or other matters by displaying notices or links to notices to you on the www.taxshax.com Site/Services. You are responsible for keeping FARN apprised promptly of any change in your email address, mailing address and/or phone number so that you can be provided with any notices that FARN wishes to send to you.

GENERAL
The terms of this Agreement and the relationship between you and FARN shall be governed by the laws of the Union of INDIA. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in PUNE, Maharashtra, India, in all disputes arising out of or relating to the use of the www.taxshax.com Site/Services, and Taxshax software. Use of the www.taxshax.com site, the Taxshax software and related services is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and FARN as a result of this agreement or use of the www.taxshax.com site, the Taxshax software and related services. FARN reserves the right to disclose any personal information about you or your use of the www.taxshax.com site, the Taxshax software and related services, including its contents, without your prior permission if FARN has a good faith belief that such action is necessary to: (1) conform to legal requirements or comply with legal process; (2) protect and defend the rights or property of FARN or its affiliated companies; (3) enforce the terms or use; (4) act to protect the interests of its members or others; or (5) at the request of its resellers and distributors. FARN's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of FARN's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the www.taxshax.com site, the Taxshax software and related services or information provided to or gathered by FARN with respect to such use. The failure of FARN to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and FARN with respect to the www.taxshax.com site, the Taxshax software and related services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, spoken or written, between the user and FARN with respect to the www.taxshax.com site, the Taxshax software and related services. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

FARN'S PROPRIETARY RIGHTS, LIMITED LICENSES, COPYRIGHTS, TRADEMARKS AND TRADE SECRETS
You acknowledge and agree that the www.taxshax.com Site/Services and any content used or displayed therein, including any software accessible through the Site, contain FARN's proprietary and confidential information that is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. "FARN", "www.taxshax.com" and all other FARN product and services names and design logos are trademarks and/or service marks of FARN (the "FARN Marks"). As between you and FARN, FARN shall own all right, title and interest in and to the www.taxshax.com Site/Services, subject only to the express licenses granted herein. You are not permitted to (and may not allow any third party to) copy, modify, adapt, translate, lease, ret, loan, establish a hyperlink to, frame within any website, distribute, create a derivative work of, reverse engineer, disassemble, decompile, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the www.taxshax.com Site/Services. You agree not to modify the software in any manner or form, or to use modified versions of the software, including (without limitation) for the purpose of obtaining unauthorized access to the www.taxshax.com Site/Services. Without FARN's prior permission, you agree not to display or use the FARN Marks in any manner. FARN reserves all patent, copyright, trade secret, trade name, trademark, license and other proprietary rights related to its software, services and products and you shall not infringe upon or violate such rights.
